We can help you with the incorporation of any company type. Еven though a Private Limited Liability Company (OÜ) is the most optimal and convenient type of company in Estonia, we can assist you with any company type.

What are the basic services that I will need to operate my company in Estonia?
Each company owned by a non-Estonian resident is obliged to have a contact person and a virtual office to maintain their business activities. Both are included in our Lite subscription for 25 EUR/month.

To maintain your company, you will need accounting services, which we also provide. Estonian companies are required to submit Annual Report within 6 months after the end of the tax year. The final price for accounting depends on the number of documents you will have per set period. You can explore our pricing to choose accounting package specifically for your needs here.

If I am a non-Estonian resident, do I need to have a virtual office and a contact person in Estonia to incorporate and maintain a company?
Yes. In order to open and maintain a company in Estonia, you are obliged to have a virtual office and a contact person. Unless you are planning to physically have your own office in Estonia, Enty will provide you with a Virtual office and a contact person in all the subscriptions for you starting from 25 EUR/month.
What is e-Residency?

E-Residency is a government-issued digital tool and status that provides access to Estonia's e-services and transparent business environment. E-Residency does not confer citizenship, tax residency, physical residency, or right of entry to Estonia or the European Union. It is easy to apply to digitally sign documents, conduct secure e-banking, and declare Estonian taxes online.

Currently, for quick incorporation, you can use an e-Residency card or one of the Baltic digital IDs: Estonian ID-card and Mobile-ID, Lithuanian Mobile-ID, Latvian ID-card.
Why should I consider opening a company with e-Residency or other Baltics digital IDs?

If you choose to open your company with e-Residency or one of the Baltics Digital IDs it will be easier, cheaper, and more convenient for you. Everything can be done online with our assistance through an e-business registry within 1-3 days.

Furthermore, the use of digital IDs will ease the future management of the company. You will be able to receive VAT and EORI numbers, sign petitions, and declare taxes online.
Do other shareholders have to have their digital IDs as well?

Yes, to open a company each shareholder and Director must have one of the digital IDs. Otherwise, you should consider opening your company without digital IDs or ask your shareholders to acquire one.

You can also open the company yourself and add new shareholders and directors or an extra charge later.
What documents will be needed to incorporate a company owned by another legal entity, instead of an individual?

To register a company, we will need the following documents of a legal entity:

- extract from the register on the formation of the company (which includes: company name, company address, registration date)
- resolution of appointment of the directors if it's not shown in the extract
- articles of association (stating the bearer shares)
- ID documents of all its Shareholders, Directors, and UBOs

All the documents shall not be older than 3 months.

It is also important to mention that a minimum share capital of 2500 EUR is required to open a company in Estonia.

However, the list of required documents may vary for residents of different countries. Please, contact us to get legal advice on your case specifically.

When submitting documents to a notary in Estonia, we will have to prove that the company is active, the directors have the signature authority, there are no restrictions in the articles of association for registering a subsidiary company. It will also be necessary to obtain an extract that shows the real beneficiaries of the company, and notarized copies of the passports of the directors of the company.

We will need English copies of these documents certified by a notary or extracts with a registered seal both apostilled. We might also need some additional documents from you if due to your residency your case requires an extended set of documents.

Note that such incorporation usually might take up to 2 months, but the timeframe is individually determined for each case.
Can I use the existing bank account for my new company?

Unfortunately, you are not allowed to use the existing bank accounts of a natural person for your Estonian company.

There are two requirements for a corporate bank account:

- it should be opened at one of the EEA banks or payment institutions;
- it should be opened under the name of the company.

Do I need to pay VAT and obtain a VAT number?

You are not obliged to register as a VAT payer until you exceed the turnover limit of 40 000 Euros (in that case you will have to obtain a VAT number within 2 days). However, if you are planning to buy and sell some service inside the EU, it might be necessary to obtain a VAT number from the beginning.

Please note that monthly accounting is required if you have a VAT number. Regarding the matter, it is always better to speak to our Accountant.
